Welcome to Josh’s Widgets. The terms “we,” “us,” and “our” refer to Josh’s Widgets. Josh’s Widgets operates this store and website, including all related information, content, features, tools, products, and services, to provide customers with a curated shopping experience (the “Services”).

Josh’s Widgets is powered by Shopify, which enables us to provide the Services to you.

These Terms of Service, together with any policies referenced here, describe your rights and responsibilities when you use the Services. Please read them carefully, as they include important information about your legal rights, warranty disclaimers, and limitations of liability.

Many Josh’s Widgets products are designed for specific helmets, Cardo communicator models, vehicles, equipment, or applications. Product compatibility information should be reviewed carefully before ordering. Unless specifically stated otherwise, products are not universal.

We do not guarantee that a product will meet every customer expectation or appear exactly as shown on every device. Product descriptions, availability, pricing, and specifications may be changed at any time without notice.

We reserve the right to discontinue a product or limit quantities offered to any person, geographic region, or jurisdiction.

3. Orders

When you place an order, you are making an offer to purchase. Josh’s Widgets may accept or decline an order at its discretion. An order is not accepted until we confirm acceptance and process payment.

Please review your order carefully before submitting it. We may not be able to accommodate cancellation requests after an order has been accepted or prepared for shipment.

If we do not accept, change, or cancel an order, we will attempt to notify you using the email address, billing address, or phone number provided at checkout.

Purchases are subject to our Return & Refund Policy.

You represent and warrant that your purchases are for personal or household use and not for commercial resale or export.

4. Prices and Billing

Prices, discounts, and promotions may change without notice. The price charged will be the price in effect when you place your order and will be shown in your order confirmation.

Unless expressly stated otherwise, posted prices do not include applicable taxes, customs charges, duties, import fees, or other government charges. Shipping charges, when applicable, are shown during checkout.

Prices in our online store may differ from prices offered through third-party marketplaces, retailers, or other sales channels.

You agree to provide current, complete, and accurate purchase, payment, and account information. You agree to promptly update your email address, payment details, and other information as needed for us to process transactions and contact you regarding your order.

You represent and warrant that:

The payment information you provide is true, correct, and complete.
You are authorized to use the payment method provided.
Charges incurred by you will be honored by your payment provider.
You will pay all charges incurred at the posted price, including applicable shipping charges and taxes.

5. Shipping and Delivery

We are not liable for shipping or delivery delays. Delivery dates and transit times are estimates only and are not guaranteed.

We are not responsible for delays caused by shipping carriers, customs processing, weather, inaccurate addresses, service interruptions, or events outside our control.

Once products are transferred to the carrier, title and risk of loss pass to you to the extent permitted by applicable law.

For international orders, customers may be responsible for applicable customs duties, taxes, brokerage fees, import fees, or other charges assessed by the destination country.

6. Intellectual Property

The Services, including our trademarks, branding, text, product descriptions, displays, images, graphics, product reviews, videos, audio, and the design, selection, and arrangement of these materials, are owned by Josh’s Widgets, its affiliates, licensors, or content providers and are protected by United States and foreign intellectual-property laws.

These Terms allow you to use the Services for personal, non-commercial use only. You may not reproduce, distribute, modify, create derivative works from, publicly display, publicly perform, republish, download, store, or transmit any material from the Services without our prior written permission.

Nothing in these Terms grants you a license or right under any patent, trademark, copyright, or other intellectual property of Josh’s Widgets, Shopify, or another third party, except as expressly stated.

Josh’s Widgets names, logos, product names, designs, and slogans are trademarks or trade dress of Josh’s Widgets or its licensors. You may not use them without prior written permission.

Cardo, Shoei, HJC, NEXX, Scorpion, BMW, and other referenced brand names are trademarks of their respective owners. Josh’s Widgets is an independent maker and is not affiliated with or endorsed by those brands unless expressly stated.

7. Optional Tools

We may provide access to third-party tools that we do not monitor, control, or influence.

You acknowledge and agree that these tools are provided “as is” and “as available,” without warranties, representations, conditions, or endorsements of any kind. We are not liable for issues arising from your use of optional third-party tools.

Your use of third-party tools is at your own risk and discretion. You should review and understand the applicable third-party terms before using them.

Any new features, tools, or resources we offer through the Services are also subject to these Terms.

Josh’s Widgets is powered by Shopify, which enables us to provide the Services to you. However, sales and purchases made through our store are made directly with Josh’s Widgets.

By using the Services, you acknowledge and agree that Shopify is not responsible for any aspect of sales between you and Josh’s Widgets, including injury, damage, or loss related to products or services purchased from our store.

You expressly release Shopify and its affiliates from claims, damages, and liabilities arising from or related to purchases and transactions between you and Josh’s Widgets.

You have disclosed any compensation or incentive received in connection with the Feedback.

We are not required to keep Feedback confidential, pay compensation for Feedback, or respond to Feedback.

We may, but are not obligated to, monitor, edit, or remove Feedback that we determine to be unlawful, offensive, threatening, defamatory, obscene, objectionable, or in violation of another party’s intellectual-property rights or these Terms.

You remain liable for all amounts due through the date of termination.

This limitation applies whether the claim is based on contract, tort, negligence, strict liability, or another legal theory, even if we have been advised of the possibility of such damages.

Some jurisdictions do not allow limitations on certain damages, so some of these limitations may not apply to you.

You agree to indemnify, defend, and hold harmless Josh’s Widgets, Shopify, and our respective affiliates, partners, officers, directors, employees, agents, contractors, licensors, and service providers from losses, damages, liabilities, claims, and reasonable attorneys’ fees arising from:

Your violation of applicable law or the rights of a third party.

We will notify you of an indemnifiable claim when reasonably possible. We may control the defense and settlement of a claim at your expense, including the selection of counsel. These Terms, together with policies and operating rules posted on the Services, constitute the entire agreement between you and Josh’s Widgets regarding your use of the Services and supersede prior or contemporaneous agreements, communications, and proposals.

Any ambiguity in these Terms will not be interpreted against the drafting party.

We may transfer, assign, or delegate these Terms and our rights or obligations without your consent or notice.

22. Governing Law

These Terms and any separate agreements through which we provide Services are governed by the laws of the State of Arkansas and applicable federal laws of the United States, without regard to conflict-of-law principles.

You and Josh’s Widgets consent to the jurisdiction and venue of the state and federal courts located in Arkansas for disputes arising from or related to these Terms or the Services.

The headings in these Terms are included for convenience only and do not affect the meaning or interpretation of the provisions.
